DEEL 1 – ALGEMEEN
Artikel 1 – Definities
In deze algemene voorwaarden wordt verstaan onder:
- Aanbod: alle aanbiedingen en prijsopgaven uitgaande van ons, ofwel via de website, via sociale media ofwel via e-mail.
- Dienst: de diensten die wij leveren en die de Klant afneemt.
- Dienstverlener: De BV BLUEWELL ofwel FASTFORWARDAMY
- Herroepingsrecht: het recht van een consument om binnen de wettelijke bedenktijd van 14 kalenderdagen af te zien van een overeenkomst op afstand en dit conform artikel VI.47 ev. WER.
- Ingangsdatum: de overeenkomst gaat in op de dag van de inschrijving bij de memberships, bij ondertekening van de overeenkomst of bij het aankopen van een product/dienst.
- Klant: De ondernemer of consument die een overeenkomst afsluit met ons en hierdoor de algemene voorwaarden aanvaardt.
- Overeenkomst: de overeenkomst aangegaan tussen de Klant en wij.
- Producten en diensten: de online downloads, (digitale) workshops en/of webinars, memberships, online trajecten (cursus en online coaching), online cursussen en producten die wij via de website en/of sociale media verkopen
- Schriftelijk: de schriftelijke communicatie zoals e-mail of via een aangetekend schrijven waar nodig.
- Websites: fastforwardamy.com, fastforwardamy1.teachable.com, fastforwardamy.lpages.co, fastforwardamy.myshopify.com, fastforwardamy.plugandpay.nl, bluewell-bv.ck.page
Artikel 2 – Toepasselijkheid algemene voorwaarden
2.1. In deze algemene voorwaarden beschrijven wij de regels op basis waarvan wij als Dienstverlener onze diensten aan jou, de Klant, zullen leveren. Deze voorwaarden zijn van toepassing op al onze producten en diensten, offertes, aanbiedingen en overeenkomsten, en bevatten belangrijke informatie over jouw rechten en verplichtingen.
2.2. Deze algemene voorwaarden hebben steeds voorrang op eventuele algemene voorwaarden van de Klant. Dit voor zover er niet van deze voorwaarden schriftelijk is afgeweken.
2.3. De laatste versie van deze algemene voorwaarden zijn steeds van toepassing.
Artikel 3 – Aanbod en aanvaarding
3.1. De Dienstverlener doet steeds een aanbod via de website, via e-mail of sociale media. De prijzen worden uitgedrukt in euro. Er wordt BTW aangerekend.
3.2. De Dienstverlener heeft steeds het recht om de tarieven en/of voorwaarden aan te passen. Het aanbod dat bestond op het moment dat de Klant het aanvaardt, m.a.w. aankoopt, is het geldende aanbod.
3.3. De Dienstverlener kan niet aan haar aanbod worden gehouden indien de Klant redelijkerwijze kon begrijpen dat het aanbod, of een onderdeel daarvan, een kennelijke materiële vergissing of verschrijving bevat, zoals een onrealistische hoge korting of ongebruikelijke lage vraagprijs.
3.4. Bij aanvaarding van het aanbod voor de levering van een dienst of product gaat de Klant ermee akkoord dat de overeenkomst direct wordt uitgevoerd en nagekomen. De Klant-consument, ziet hiermee af van zijn herroepingsrecht (indien dit van toepassing zou zijn).
Diensten of producten die via de website zijn aangekocht, dienen onmiddellijk en via de website te worden betaald, met uitzondering van producten waarvoor de optie ‘betalen op factuur' beschikbaar is en de klant dusdanig de keuze heeft. Voor diensten of producten die niet via de website zijn aangekocht, zal de Dienstverlener een factuur sturen, tenzij anders overeengekomen. Deze factuur dient betaald te worden binnen de 8 kalenderdagen na factuurdatum.
DEEL 2 – BEPALINGEN SPECIFIEK VAN TOEPASSING OP DE TRAJECTEN
Artikel 4 – Uitvoering van de overeenkomst en informatieverstrekking Klant
4.1. De Dienstverlener biedt verschillende soorten trajecten aan.
Tenzij schriftelijk anders zou zijn overeengekomen, zullen de werkzaamheden van de Dienstverlener bestaan uit het geven van business advies in de breedste zin van het woord.
Bij bepaalde trajecten zal er steeds eerst een intakegesprek plaatsvinden. Daarna kan de Klant en de Dienstverlener kiezen of hij/zij al dan niet met het gekozen traject van start zal gaan. Dit zal steeds uitdrukkelijk vermeld worden per traject.
Wanneer de Klant ervoor opteert te starten met het traject en m.a.w. het aanbod accepteert, bestaat de verplichting tot betaling van de volledige som, hetzij door éénmalige betaling, hetzij door een afbetalingsplan indien dit door de Dienstverlener aangeboden wordt. Zelfs wanneer het traject voortijdig zou worden beëindigd door de Klant, zal de Klant toch tot volledige betaling moeten overgaan.
4.2. Nadat partijen tot een akkoord zijn gekomen, zal de klant een overeenkomst ondertekenen. De overeenkomst heeft voorrang op de bepalingen uit de algemene voorwaarden. Indien het traject via de website wordt aangeboden, dient de Klant steeds de algemene voorwaarden te aanvaarden alvorens de betaling afgerond kan worden. Zodra de betaling voldaan is, gaat de overeenkomst tussen Klant en Dienstverlener van start.
4.3. De Dienstverlener voert de opdracht naar beste inzicht en vermogen uit. De Dienstverlener is niet aansprakelijk voor het niet-bereiken van het resultaat dat de Klant beoogde. Het beoogde resultaat is steeds afhankelijk van de inzet van de Klant.
4.4. De Dienstverlener kan het werk maar naar behoren uitoefenen wanneer de Klant alle gevraagde informatie voor de uitvoering van de opdracht tijdig ter beschikking stelt, zijnde tijdens het intakegesprek of via een vooraf toegestuurde vragenlijst. De Klant staat dan ook in voor de juistheid, volledigheid en betrouwbaarheid van de ter beschikking gestelde gegevens, ook indien deze van derden afkomstig zijn. De Dienstverlener zal uiteraard deze gegevens vertrouwelijk behandelen.
4.5. Wanneer de Klant niet of niet tijdig de verlangde gegevens beschikbaar stelt en de uitvoering van de opdracht hierdoor vertraging oploopt, dan komen de daaruit voortvloeiende extra kosten voor rekening van Klant.
4.6. De Dienstverlener is niet aansprakelijk voor schade, van welke aard dan ook, te wijten aan verkeerde of onjuiste gegevens die door de Klant zijn verstrekt.
Voor bepaalde trajecten zullen specifieke (online) gesprekken ingepland worden tussen Klant en Dienstverlener. Dit wordt schriftelijk in het aanbod van het traject omschreven. Indien de Klant niet kan deelnemen aan dergelijke activiteit wegens ziekte, wordt verwacht dat de Klant dit zo spoedig mogelijk doorgeeft aan de Dienstverlener. Alle afspraken dienen uiterlijk 24 uur van te voren te worden afgezegd, anders verliest de Klant de beurt of zal er een vergoeding worden aangerekend.
Artikel 5 – vergoeding:
5.1. Algemeen
De prijs is steeds afhankelijk van het gekozen traject De prijzen staan steeds vermeld op de website van de Dienstverlener of indien het aanbod elders gecommuniceerd wordt via sociale media of e-mail.
De vermelde tarieven zijn exclusief BTW. Het overeengekomen tarief omvat alle kosten met uitzondering van extra producten/diensten en vervoersonkosten. Eventuele bijkomende kosten zullen steeds apart worden aangegeven en vallen ten laste van de Klant.
5.2. Facturatie en betaling
5.2.1. Indien er geen betaling via domiciliëring is afgesproken, zal de deelnemer het gehele bedrag van de factuur in één keer overmaken naar het rekeningnummer BE45 1431 1316 8789 van de Dienstverlener met vermelding van het factuurnummer, te vinden onderaan de facturatie. De factuur dient te worden betaald binnen de 8 dagen.
De klant kan daarnaast ook opteren om de factuur online te betalen via de gegeven opties op de website van de Dienstverlener.
5.2.2. Bij niet–betaling of wanbetaling van de factuur binnen de gestelde termijn, worden alle openstaande facturen van rechtswege en zonder ingebrekestelling onmiddellijk opeisbaar en is de Klant vanaf de vervaldag van rechtswege en zonder voorafgaande ingebrekestelling een verwijlintrest verschuldigd van 10% per jaar op het factuurbedrag evenals een forfaitaire schadevergoeding ten belope van 10% met een minimum van € 150,00. In geval van gedeeltelijke betaling blijft een integrale schadevergoeding verschuldigd.
5.3. Domiciliëring
5.3.1. De maandelijkse vergoeding wordt, tenzij anders overeengekomen, hetzij via SEPA Europese domiciliëring hetzij via factuur, maandelijks vooraf betaald. De eerste maandelijkse vergoeding wordt onmiddellijk betaald en hiermee geeft de klant haar goedkeuring voor de SEPA domiciliëring.
Daarna zal de maandelijkse betaling gebeuren steeds één maand erna (vb. 1 juli ingeschreven, zal de eerstvolgende betaling op 1 augustus van de rekening gaan). De Dienstverlener zal steeds een factuur hiervoor inschrijven.
5.3.2. Indien de deelnemer niet tijdig betaalt, is de Dienstverlener gerechtigd om de Dienstverlening stop te zetten totdat het verschuldigde bedrag ontvangen is. De verplichting tot betalen blijft in deze situatie onverkort bestaan.
5.3.3. Bij niet–betaling of wanbetaling binnen de gestelde termijn, worden alle openstaande facturen van rechtswege en zonder ingebrekestelling onmiddellijk opeisbaar en is de Klant vanaf de vervaldag van rechtswege en zonder voorafgaande ingebrekestelling een verwijlintrest verschuldigd van 10% per jaar op het factuurbedrag evenals een forfaitaire schadevergoeding ten belope van 10% met een minimum van € 150,00. In geval van gedeeltelijke betaling blijft een integrale schadevergoeding verschuldigd.
Artikel 6 – Wijzigen of beëindiging van de overeenkomst
6.1. De duurtijd van het traject is steeds afhankelijk van het gekozen traject/product. De Dienstverlener zal steeds op voorhand meedelen hoe lang het traject zal duren. Deze informatie wordt ook steeds beschikbaar gesteld via de website of indien het aanbod elders gecommuniceerd wordt via sociale media of e-mail. De overeenkomst geldt gedurende de volledige duurtijd van het traject. Indien het door de Klant gekozen afbetalingsplan de duurtijd van het traject overschrijdt, zal de overeenkomst gelden tot het volledige afbetalingsplan voldaan is
De overeenkomst kan in principe niet vroegtijdig worden stopgezet. Het aangekochte traject kent een looptijd zoals vermeld bij de aankoop. Bij aanschaf van het traject gaat de Klant ermee akkoord dat het gehele traject dient te worden betaald, ook wanneer Klant gedurende het traject wenst tot annulering over te gaan. Ook hier geldt dat indien het door de Klant gekozen afbetalingsplan de duurtijd van het traject overschrijdt, de openstaande aankoopsom in ieder geval voldaan moet worden.
Wanneer de Klant ervoor opteert om het traject te annuleren, heeft hij/zij geen enkel recht op enige terugbetaling.
6.2. De Dienstverlener is gerechtigd de overeenkomst per direct geheel of gedeeltelijk te ontbinden zonder verplichting tot schadevergoeding als de Klant niet, of slechts gedeeltelijk aan zijn verplichtingen uit de overeenkomst voldoet. De Dienstverlener kan maar haar diensten naar behoren uitoefenen wanneer de Klant aan zijn contractuele verplichtingen voldoet.
Artikel 7 – Aansprakelijkheid
De Dienstverlener zal zich steeds inspannen de overeenkomst naar beste inzicht, vermogen en overeenkomstig de eisen van goed vakmanschap uit te voeren. De Klant erkent dat de Dienstverlener slechts een inspanningsverplichting heeft en geen resultaatsverplichting.
De Dienstverlener heeft het recht om derden in te schakelen voor de uitvoering van deze overeenkomst. De Dienstverlener heeft deze derden met de hoogst mogelijke zorg geselecteerd om een goede kwaliteit van uitvoering te kunnen bereiken.
DEEL 3 – BEPALINGEN VAN TOEPASSING OP DE VERKOOP VAN PRODUCTEN EN DIENSTEN
Artikel 8 – Herroepingsrecht
8.1. De bepalingen van dit artikel geldt enkel voor deze Klanten die in hun hoedanigheid van consument artikelen online aankopen.
De Klant heeft het recht om binnen een termijn 14 kalenderdagen de aankoop van de aangekochte fysieke producten te ontbinden. Dienstverlener heeft het recht de Klant te vragen naar de reden van herroeping, maar Klant is niet verplicht een reden op te geven.
De termijn uit het vorige lid gaat in op de dag nadat de Klant, of een aangewezen derde, de bevestigingse-mail heeft ontvangen.
8.2. Uitzonderingen: Het herroepingsrecht geldt niet voor de niet-fysieke producten zoals online cursussen, e-books, online coaching trajecten. De ontbinding van downloads en andere leveringen van digitale inhoud, niet geleverd op een materiële drager, is aldus niet mogelijk wanneer de Klant voorafgaand aan de levering uitdrukkelijk heeft ingestemd met het beginnen van de nakoming van de overeenkomst voor het einde van de bedenktijd en hij heeft erkend het ontbindingsrecht te verliezen bij het verlenen van deze instemming.
Artikel 9 – Uitoefening van het herroepingsrecht
9.1. Om het herroepingsrecht uit te oefenen, moet de Klant de Dienstverlener via een ondubbelzinnige verklaring (bv. schriftelijk per post, of per e-mail) op de hoogte stellen van zijn beslissing de overeenkomst te herroepen. Deze mededeling moet de Dienstverlener bereiken voordat de herroepingstermijn is verstreken.
Om de herroepingstermijn na te leven moet de Klant zijn mededeling betreffende zijn uitoefening van het herroepingsrecht verzenden voordat de herroepingstermijn is verstreken.
9.2. De Klant moet de goederen onverwijld, doch in ieder geval niet later dan 14 kalenderdagen na de dag waarop hij zijn beslissing om de overeenkomst te herroepen heeft meegedeeld, terugzenden naar de Dienstverlener. De Klant is op tijd als hij de goederen terugstuurt voordat de termijn van 14 kalenderdagen is verstreken.
9.3. De directe kosten van het terugzenden van de goederen komen voor rekening van de Klant.
9.4. Indien het teruggestuurde product op een of andere manier in waarde verminderd is, behoudt de Dienstverlener zich het recht voor om de Klant aansprakelijk te stellen en schadevergoeding te eisen voor elke waardevermindering van de goederen die het gevolg is van het gebruik van de goederen door de Klant dat verder gaat dan nodig is om de aard, de kenmerken en de werking van de goederen vast te stellen. Enkel artikelen die zich in de originele verpakking bevinden, samen met alle toebehoren, gebruiksaanwijzingen en factuur of aankoopbewijs kunnen worden teruggenomen.
9.5. Indien de Klant de overeenkomst herroept, zal de Dienstverlener alle tot op dat moment van de Klant ontvangen betalingen, inclusief de standaard leveringskosten, aan de Klant terugbetalen binnen maximum 14 kalenderdagen nadat zij op de hoogte is gesteld van de beslissing van de Klant om de overeenkomst te herroepen. Bij verkoopovereenkomsten kan de Dienstverlener wachten met de terugbetaling totdat hij alle goederen heeft teruggekregen, of totdat de Klant heeft aangetoond dat hij de goederen heeft teruggezonden, naar gelang welk tijdstip eerst valt.
9.6. De Dienstverlener betaalt de Klant terug met hetzelfde betaalmiddel als waarmee de Klant de oorspronkelijke transactie heeft verricht, tenzij de Klant uitdrukkelijk anderszins heeft ingestemd; in ieder geval zullen de Klant voor zulke terugbetaling geen kosten in rekening worden gebracht.
Artikel 10 – Levering
10.1. Voor aankoop van producten gelden de volgende bepalingen:
Als verzendadres geldt het adres dat de Klant heeft opgegeven. De Dienstverlener is niet aansprakelijk voor fouten in het aanleveren van deze leveringsinformatie.
10.2. De Dienstverlener verzendt de producten binnen de 3-5 werkdagen. Indien producten niet op voorraad zijn, wordt Klant op de hoogte gehouden van de aangepaste levertijd.
10.3. Wanneer de bezorging vertraging heeft, ontvangt de Klant hiervan zo spoedig mogelijk bericht. Indien de bezorging langer duurt dan 30 kalenderdagen heeft de Klant het recht de overeenkomst zonder kosten te ontbinden.
10.4. De Dienstverlener levert enkel binnen België/Nederland .
Artikel 11 – Betwistingen
De klant is verplicht om eventuele klachten over facturen en/of geleverde diensten of producten binnen de 8 dagen na het ontstaan van de klacht schriftelijk kenbaar maken aan de Dienstverlener.
Indien van een gebrek later melding zou worden gemaakt van een fysiek product, dan komt de Klant geen absoluut recht meer toe op herstel, vervanging of schadeloosstelling.
De klant kan ook steeds kiezen om een klacht in te dienen bij de consumentenombudsdienst van de Federale Overheid. Dit kan via deze link: http://www.consumentenombudsdienst.be/nl.
Artikel 12 – Gebruikersaccount voor online cursussen
12.1. Om toegang te krijgen tot online Diensten, waaronder online cursussen, dient de Klant op de website of het online platform van de Dienstverlener een account aan te maken. De Klant zal ervoor zorgen dat de informatie in het account steeds actueel en up-to-date is. Daarnaast zal de Klant ook zorgen voor een veilig en uniek wachtwoord.
12.2. Toegang tot het gebruikersaccount is strikt persoonlijk. De toegang tot het account, accountgegevens en inloggegevens mogen niet gedeeld worden met derden.
12.3. Bij een vermoeden tot delen van de accountgegevens aan derden, zal de toegang tot de account voor onbepaalde tijd geblokkeerd worden, zonder dat de de Dienstverlener de Klant enige vergoeding of betaling verschuldigd is.
12.4. Wanneer de Klant zou handelen in strijd met deze algemene voorwaarden of op een andere manier onrechtmatig handelt of schade toebrengt aan de Dienstverlener dan is de Dienstverlener gerechtigd de toegang tot het account te ontzeggen, zonder dat zij hiervoor enige schadevergoeding verschuldigd is.
Artikel 13 – Online cursussen
13.1. Toegang tot online cursussenis persoonlijk. Toegang tot de online cursussen of de inhoud
van die cursussen mogen niet gedeeld worden met derden.
13.2. Bij een vermoeden van het delen van toegang tot een online cursus met derden, wordt de toegang de online cursus voor onbepaalde tijd geblokkeerd, zonder dat de Dienstverlener Klant enige vergoeding of betaling verschuldigd is.
13.3. De Dienstverlener heeft de online cursussen ontworpen naar aanleiding van haar ervaring en kennis op vlak van business Dienstverlening. Met de online cursussen wenst de Dienstverlener de Klant de nodige tools bij te brengen.
13.4. De aangeboden online cursussen waarbij online cursusmateriaal wordt geleverd, worden aangeleverd via de Website of via een online platform.
13.5. De Klant dient tenminste over een e-mailadres en over een internetverbinding, webbrowser en daarvoor geschikte apparatuur te beschikken, om gebruik te maken van het online cursusmateriaal.
13.6. M.b.t. de trajecten zoals het BUM™ (Boss Up Mentorship™), de BFE™ (Business Freedom Elevator™) na het einde van het traject, bestaande uit de cursus en de online coaching, blijft het online cursusmateriaal ‘levenslang’ beschikbaar, zolang de Dienstverlener, de online training en het online platform blijven bestaan. Indien de Dienstverlener ervoor kiest de online training niet langer aan te bieden, zal de Klant hiervan tijdig op de hoogte worden gebracht.
M.b.t. de online cursussen: het online cursusmateriaal blijft ‘levenslang’ beschikbaar, zolang de Dienstverlener, de online training en het online platform blijven bestaan. Indien de Dienstverlener ervoor kiest de online training niet langer aan te bieden, zal de Klant hiervan tijdig op de hoogte worden gebracht.
M.b.t. andere online trajecten: De inhoud blijft beschikbaar gedurende de duurtijd van het traject.
De duurtijd zal telkens duidelijk in het aanbod per traject of cursus worden vermeld.
13.7. De Dienstverlener biedt geen garantie op enige vooruitgang of verbetering, noch biedt zij enige garantie op resultaat. De resultaten zijn steeds afhankelijk van de inspanningen van de Klant.
13.8. De Klant dient zich te onthouden van elk gebruik van (de inhoud van) de online trainingen dat onrechtmatig is of schadelijk kan zijn voor de Dienstverlener.
DEEL 4 – BEPALINGEN VAN TOEPASSING OP ALLE DIENSTEN EN PRODUCTEN VAN DE DIENSTVERLENER
Artikel 14 – Aansprakelijkheid
14.1. Overmacht
De Dienstverlener aanvaardt geen enkele aansprakelijkheid wanneer zij als gevolg van overmacht of vreemde oorzaak niet aan haar verplichtingen kan voldoen. Wanneer de overmacht slechts tijdelijk van aard is, zullen wij alsnog aan onze contractuele verplichtingen trachten te voldoen vanaf het moment dat dit redelijkerwijs weer mogelijk is.
Als blijkt dat een verderzetting niet meer mogelijk is, zal de overeenkomst in onderling overleg herzien of ontbonden worden.
14.2. Relaties met derden
Voor zover de Dienstverlener afhankelijk zou zijn van de medewerking, diensten en leveringen van derden, kan de Dienstverlener op geen enkele manier aansprakelijk worden gesteld voor schade voortkomend uit deze relaties of het verbreken ervan.
14.3. Contractuele tekortkomingen
Indien bij het uitvoeren van de overeenkomst een ernstige tekortkoming aan de Dienstverlener te wijten zou zijn kan de klant haar schriftelijk in gebreke stellen, waarbij er een redelijke termijn wordt gegund om alsnog aan de verplichtingen na te komen. De Dienstverlener kan slechts aansprakelijk gesteld worden voor een vervangende schadevergoeding die niet hoger kan zijn dan het factuurbedrag. Wij zijn niet verantwoordelijk voor enige tekortkoming van een aangestelde of derden.
Iedere aansprakelijkheid voor enige andere vorm van schade is uitgesloten, waaronder enige vergoeding van indirecte schade, gevolgschade of schade wegens gederfde omzet of winst.
14.4. Technische problemen website
De Dienstverlener kan geen bepaalde uptime van de website garanderen. De digitale inhoud kan daardoor eventueel voor korte periodes niet beschikbaar zijn. De Klant kan hiervoor geen vergoeding vorderen, wanneer dit binnen redelijke proporties blijft.
De Dienstverlener stelt alles in het werk om ervoor te zorgen dat de website en de online diensten zo spoedig mogelijk weer beschikbaar zijn. De Dienstverlener kan evenwel geen enkele garantie bieden.
14.5. Website
De Dienstverlener is niet aansprakelijk voor schade door inbraak of hacking van de Website. De Dienstverlener zal het nodige doen om alle redelijke beveiligingsmaatregelen in acht te nemen en dit conform de stand ter technieken die op dit moment beschikbaar zijn.
De Dienstverlener is niet aansprakelijk voor schade door phishing, farming of andere vormen van internetfraude of andere criminele activiteiten.
14.6. Eigen verantwoordelijkheid klant
De Dienstverlener begeleidt de klant en staat hem/haar bij met advies. De Dienstverlener kan nooit aansprakelijk worden gesteld voor de beslissingen die de klant zelf maakt tijdens het traject i.v.m. zijn/haar zaak.
Artikel 15 – Intellectuele eigendomsrecht
15.1. Door acceptatie van deze algemene voorwaarden wordt uitdrukkelijk erkend door de Klant dat alle ontwerpen, informatie, afbeeldingen, e-mails, downloads, schema’s, modules en/of materialen, en overige inhoud op de website en online teaching platform, producten eigendom zijn van de Dienstverlener en beschermd zijn door de relevante rechten van intellectuele eigendom, waaronder doch niet beperkt tot auteursrechten, merkenrechten, databankrechten, naburige rechten, octrooien en modelrechten.
15.2. De Dienstverlener verleent aan de Klant een beperkt, persoonlijk, niet exclusief, niet sub-licentieerbaar, niet overdraagbaar en onherroepelijk recht om de diensten en producten te gebruiken voor persoonlijke doeleinden en onder de voorwaarden, zoals in deze algemene voorwaarden gesteld. Dit enkel gedurende de duurtijd van de overeenkomst.
15.3. Het is de Klant uitdrukkelijk verboden om ontwerpen, informatie, afbeeldingen en overige inhoud, opgesteld door de Dienstverlener, te kopiëren, te wijzigen, openbaar te maken, voor directe of indirecte commerciële doeleinden te gebruiken of aan derden over te maken.
Het is de Klant ook verboden om de gegeven licentie over te dragen aan derden. De Klant mag sluitend de werken downloaden en opslaan en/of printen voor strikt persoonlijk gebruik.
15.4. Partijen kunnen steeds hiervan afwijken door middel van een schriftelijke overeenkomst.
Artikel 16 – Gegevensverwerking
16.1. Door het aanvaarden van een aanbod, verklaart de Klant zich akkoord met de verwerking van zijn persoonsgegevens conform de Dienstverlener zijn privacy policy. Deze algemene voorwaarden dienen te worden gelezen in combinatie met deze algemene privacyverklaring die toegankelijk is op de website.
16.2. Door het aanmaken van een account, aanvaardt de Klant zonder voorbehoud deze algemene voorwaarden. Daarnaast moet de Dienstverlener voor het aanmaken van het gebruikersaccount of het opmaken van bepaalde documenten de persoonsgegevens verwerken. De omstandigheden waarin dat gebeurt, worden nader omschreven in de privacy policy.
16.3. In het kader van de diensten die de Dienstverlener verricht, verwerkt zij als ‘verantwoordelijke’ persoonsgegevens van de contactpersonen die de Klant opgeeft. De contactgegevens van deze personen kunnen verwerkt worden in het kader van ons Klantenbeheer, voor marketingdoeleinden, en dienen om onze overeenkomst met de Klant naar behoren uit te voeren.
Artikel 17– Geheimhouding
17.1. Partijen zullen ertoe gebonden zijn een volledige geheimhoudingsverplichting in acht te nemen.
Dit houdt in dat zij, behoudens uitdrukkelijke toestemming van de andere partij, geen van de bedrijfsgeheimen van elkaar in verband met eender welk bedrijfsfacet mag gebruiken, verspreiden of overbrengen naar enig andere derde, in het bijzonder, maar zonder dat dit een limitatieve opsomming is, inzake de prijszetting, marketing, productie, financiering, en strategische ontwikkeling van de onderneming, lijsten of details inzake Klanten en vroegere of potentiële Klanten, contractuele voorwaarden, enz…, tenzij:
– het informatie betreft die publiek beschikbaar is zonder toedoen noch nalatigheid vanwege partijen
– het informatie betreft die partijen verplicht zijn mee te delen wegens een definitief (waartegen alle rechtsmiddelen haar uitgeput) rechterlijk bevel, een definitieve arbitrale beslissing, of een definitief bevel vanwege een overheidsinstantie,
– het informatie betreft die partijen verplicht is mee te delen op grond van enige wettelijke, decretale of reglementaire of andere bindende bepaling van overheidswege,
– Partijen informatie dient mee te delen in het kader van zijn/haar verdediging in een gerechtelijke procedure of arbitrage.
Deze geheimhoudingsverplichting zal gelden tijdens de duurtijd van de overeenkomst en erna.
17.2. Partijen erkennen het belang van deze verplichting. De schending van deze geheimhoudingsverplichting tijdens de duur van deze overeenkomst geldt als een ernstige fout in de zin van artikel 14.3. voormeld.
In geval van schending van dit artikel, zullen partijen een forfaitaire schadevergoeding verschuldigd zijn van € 1.500,- onverminderd het recht om een aanvullende schadevergoeding te eisen, zo deze som niet voldoende de schade vergoedt. Deze schadevergoeding is verschuldigd aan de andere partij zonder dat dit het recht om alle mogelijke andere rechtsmiddelen aan te wenden, kan beperken.
17.3. De Klant erkent dat de Dienstverlener bepaalde info (meer specifiek, doch niet limitatief: wins, fails, foto’s, …) kan delen op haar sociale media kanalen. De Klant dient uitdrukkelijk te laten weten wanneer hij/zij wenst dat de Dienstverlener bepaalde informatie niet openbaar maakt.
Artikel 18 – Algemeen
18.1. Niemand kan zijn of haar rechten en/of verplichtingen voortvloeiend uit deze algemene voorwaarden of onze overeenkomsten overdragen aan een derde partij zonder toestemming van de andere partij
18.2. Wanneer een bepaling uit deze voorwaarden geheel of gedeeltelijk in strijd zou zijn met een wettelijke bepaling, en daardoor nietig zou zijn, dan blijven deze voorwaarden voor het overige onverminderd van kracht. Indien nodig zullen partijen gezamenlijk een nieuwe bepaling overeen komen die in dezelfde lijn ligt met het doel van de nietige bepaling.
18.3. Deze overeenkomst wordt beheerst door het Belgisch recht. Elke betwisting i.v.m. de interpretatie of uitvoering van een contract en m.b.t. onze facturen behoort tot de uitsluitende bevoegdheid van het de rechtbanken waar de maatschappelijke zetel van de Dienstverlener gelegen is.

PART 1 – GENERAL INFORMATION |
Article 1 – Definitions
In these terms and conditions, the following definitions will apply:
- Offer: every offer and quotation issued by us, either on our website, on social media or via email.
- Service: the services that we offer and that the customer receives from us.
- Service Provider: BV BLUEWELL or FASTFORWARDAMY
- Right to Withdraw: the customer’s right to withdraw from an agreement within the statutory period of 14 calendar days and in accordance with article VI47 ev. WER.
- Commencement Date: the agreement starts on the day that the customer registers for a membership, on the day of signing of the agreement, or when purchasing a product or service.
- Customer: The entrepreneur or consumer that enters into an agreement with us and in doing so accepts the terms and conditions.
- Agreement: the agreement between a customer and us.
- Products: the online e-books, workshops, memberships, online courses, and the products that we sell on our website.
- Written: the written communication like emails or registered mail if necessary.

Article 2 – Relevance of Terms and Conditions
2.1 In these terms and conditions, we describe the rules and regulations that form the basis of how we as Service Provider will provide you, the Customer, with our services. These terms and conditions are applicable to all our quotations, offers, online programs, workshops, trajectories, memberships, agreements, services, and products, and contain important information about your rights and obligations.
2.2 These terms and conditions always take precedence over terms and conditions of the Customer, unless otherwise agreed in writing.
2.3 The most recent and up to date version of this agreement is always applicable.
Article 3 – Offer and Acceptance
3.1 The Service Provider always places offers on the website, on social media, or sends them via email.
3.2 The Service Provider always has the right to alter pricing and or conditions. The price that was communicated on the moment that the Customer accepts the product or service and, in other words, purchases it, is the applicable price.
3.3 The Service Provider cannot be held to their offer if the customer can reasonably understand that the offer, or a part of it, contains an obvious or a clerical error, such as an unrealistically high discount or an unusually low asking price.
3.4 Upon accepting the offer for the delivery of a service or a product, the Customer agrees that the agreement is immediately acted upon and fulfilled. The Customer-consumer wavers their right to withdraw (if it were applicable).
For services or products that are purchased on the website, the Customer is required to pay immediately and on the website. For services or products that are not purchased on the website, the Service Provider will send an invoice, unless otherwise agreed. This invoice needs to be paid in full within 8 calendar days of the invoice date.
PART 2 – PROVISIONS RELATING SPECIFICALLY TO THE TRAJECTORIES |
Article 4 – Implementation of the agreement and disclosure to the Customer
4.1 The Service Provider offers different kinds of services and trajectories.
Unless otherwise agreed in writing, the activities of the Service Provider will consist of giving business advice in the broadest sense of the word.
With certain trajectories, an intake interview will take place. Afterwards, the Customer and Service Provider can choose whether or not to start the chosen trajectory. This will be explicitly mentioned for each trajectory.
When the Customer chooses to start the trajectory and, in doing so, accepts the offer, the payment obligation stands for the full sum. Even when the Customer ends the trajectory prematurely, they will have to pay the trajectory in full.
4.2 After both parties have come to an agreement, the Customer will sign a written agreement. The agreement takes precedence over provisions in the terms and conditions.
4.3 The Service Provider implements the assignment to the best of their abilities and insight. The Service Provider is not liable for not achieving the result or goal that the Customer envisaged. The envisaged result is always dependent on the effort of the Customer.
The implementation of the agreement always happens in mutual agreement, after written agreement, and after payment of the amount due in full.
4.4 The Service Provider can only properly perform their duties when the Customer provides them with the necessary information in time, being during the intake interview or via a questionnaire that is provided in advance. The Customer is responsible for the accuracy, the exhaustiveness, and the reliability of the information provided, even if it is provided by third parties. The Service Provider will treat this information confidentially.
4.5 When the Customer does not provide the necessary information in time or at all, and this delays the implementation of the assignment, the subsequent supplementary costs are for the account of the Customer.
4.6 The Service Provider is not liable for any damage, of any kind, attributable to wrong or incorrect information that is provided by the Customer.
If the Customer cannot take part in an activity due to illness, the Customer is expected to communicate this to the Service Provider as soon as possible. All meetings need to be cancelled 24 hours before the scheduled start; if not, the Customer loses an appointment or they will be required to pay a fee.
Article 5 – Compensation
5.1 General
The price is always dependent on the chosen trajectory or product. The prices are always listed on the website of the Service Provider.
The listed prices are excluding VAT. The pricing that is agreed upon includes all costs except supplementary products or services and transport costs. Potential supplementary costs will always be specified and are for the account of the Customer.
5.2 Invoicing and payment
5.2.1 When the Customer and Service Provider have not agreed upon payment via direct debit, the Customer will transfer the full amount listed on the invoice in one lump sum to the account number BE07 6451 0237 6966 of the Service Provider, adding the invoice number that is listed at the bottom of the invoice.
The customer can also opt to pay the invoice online via the options that are provided on the website of the Service Provider.
5.2.2 Upon non-payment of the invoice within the prescribed period, all the outstanding invoices are immediately due and payable automatically and without formal notice. The Customer is owed automatically and without formal notice a late payment interest of 10% per year on the invoice amount, as well as a flat-rate compensation amounting to 10% with a minimum of €150,00. In case of partial payment, the compensation is owed in full regardless.
5.3 Direct Debit
5.3.1 The monthly payment is paid in advance, unless otherwise agreed, be it via SEPA European Direct Debit of via invoice. The first monthly payment is paid immediately and in doing this, the Customer agrees to the SEPA Direct Debit.
Afterwards, the monthly payment will take place exactly one month after the previous payment (e.g. registered on july 1st, the consecutive payment will take place on august 1st). The Service Provider will write an invoice for every payment.
5.3.2 If the Customer does not pay on time, the Service Provider is entitled to end the Service until the amount due has been paid. The obligation to pay loses none of its force in this situation.
5.3.3 Upon non-payment of the invoice within the prescribed period, all the outstanding invoices are immediately due and payable automatically and without formal notice. The Customer is owed automatically and without formal notice a late payment interest of 10% per year on the invoice amount, as well as a flat-rate compensation amounting to 10% with a minimum of €150,00. Article 6 – Changing or Ending the Agreement
6.1 The duration depends upon the chosen trajectory or product. The Service Provider will always state beforehand how long the trajectory will last. This information will always be made available on the website.
The agreement can be terminated prematurely. The purchased trajectory has a duration that is stated in advance and is included in the special conditions. Upon purchasing the trajectory, the Customer agrees that the trajectory is to be paid in full, even if the Customer wishes to end the trajectory during the foreseen duration.
When the Customer opts to cancel the trajectory, they have no right whatsoever to a reimbursement of any kind.
6.2 The Service Provider is entitled to dissolve the agreement in full or in part without the obligation to pay compensation if the Customer does not honour their obligations in full or in part. The Service Provider can only properly implement their assignment if the Customer honours their contractual obligations.
Article 7 – Liability
The Service Provider will always make every effort to act to the best of their ability and insight and according to the requirements of good craftsmanship. The Customer acknowledges that the Service Provider only has a commitment on a best efforts basis, not an obligation to achieve results.
The Service Provider has the right to engage third parties for the implementation of the agreement. The Service Provider has selected said third parties with the utmost care in order to achieve a good quality of service.
PART 3 – PROVISIONS APPLICABLE TO THE SALE OF PRODUCT AND OTHER SERVICES |
Article 8 – Right to Withdraw
8.1 The provisions in this article only apply to customers that purchase articles online in the capacity of consumer.
The Customer has the right to withdraw from purchasing the purchased physical products within a period of 14 calendar days. The Service Provider has the right to ask the Customer for a reason as to why they withdraw, but the Customer is not obliged to provide said reason.
The cooling-off period of 14 calendar days starts on the day when the Customer, or a designated third party, receives the confirmation email.
8.2 Exceptions: The right to withdraw does not apply to online courses and ebooks. The dissolution of downloads and other deliveries of digital content, not delivered on a physical carrier, is impossible when the Customer, prior to delivery, explicitly agreed to the start of the fulfilment of the agreement before the end of the cooling-off period and acknowledged that they lose the right to withdraw by agreeing.
Article 9 – Execution of the Right to Withdraw
9.1 To execute the right to withdraw, the Customer is obliged to send the Service Provider an unambiguous declaration (e.g. in writing via mail, or via email), to inform them of their decision to withdraw from the agreement. This declaration has to reach the Service Provider before the end of the cooling-off period.
To respect the cooling-off period, the Customer needs to send their declaration about the execution of their right to withdraw before the end of the cooling-off period.
9.2 The Customer has to send the products back to the Service Provider without delay and in any case no later that 14 calendar days after the day when the Customer communicated their decision to withdraw from the agreement. The Customer is not late when he returns the products before the end of said term of 14 calendar days.
9.3 The direct costs for the return of the products are for the account of the Customer.
9.4 If the returned product has lost value in any way, the Service Provider reserves the right to personally hold the Customer responsible and to demand compensation for every lost value of the product that is the direct result of the Customer’s use of the product that exceeds what is necessary to determine the nature, characteristics, and operation of the products. Products must be returned, and will only be accepted, in original packaging and they must be returned with all accessories, user manual and invoice or proof of purchase.
9.5 If the Customer withdraws from the agreement, the Service Provider will refund all of the payments, including standard delivery costs, within a period of 14 calendar days after being informed of the decision of the Customer to withdraw from the agreement. With sales contracts, the Service Provider can hold off on the refund until they have received the returned products or until the Customer provides proof of returning the products, depending on which event comes first.
9.6 The Service Provider refunds the Customer with the same means of payment used by the Customer when originally purchasing the product, unless the Customer explicitly agreed on a different means of payment; in any case, the Customer will not be charged for extra costs relating to the refund.
Article 10 – Delivery
10.1 For purchasing products, the following provisions apply: The Customer provides the shipping address. The Service Provider is not responsible for errors or omissions in the delivery information as it is provided by the Customer.
10.2 The Service Provider ships the products within 3 to 5 business days. If products are not in stock, the Customer will be informed of the modified delivery date.
10.3 When the delivery is delayed, the Customer will be informed as soon as possible. If the delivery takes longer than 30 calendar days, the Customer has the right to cancel the agreement without extra costs.
10.4 The Service Provider ships only to Belgium and The Netherlands.
Article 11 – Disputes
The Customer is obliged to communicate in writing any possible complaints about invoices and/or services or products delivered by the Service Provider within 8 days after first noticing the subject of the complaint.
When the Customer reports a flaw of a physical product after said period of 8 days, the Customer does not have the absolute right to restoration, replacement, or compensation.

Article 12 – User Account for Online Trainings
12.1 In order to get access to online Services, and to trainings amongst other things, the Customer needs to create an account on the website or online platform. The Customer needs to make sure that the information in that account is up to date at all times. Furthermore, the Customer will choose a unique and safe password.
12.2 Access to the user account is always intended for personal use only. Access to the account, account information and login details cannot be shared with third parties.
12.3 In the case of a suspicion on the part of the Service Provider that the account information has been shared with third parties, the access to the account will be suspended indefinitely, without any obligation on the part of the Service Provider to pay a compensation of any kind or amount.
12.4 When the Customer acts in a way that does not comply with these terms and conditions or in a way that is unlawful or damaging to the Service Provider, the Service Provider is entitled to denying the Customer access to the account without being obliged to pay any compensation.
Article 13 – Online Training
13.1 Access to the online training trajectories is intended for personal use only. Access to online training or the content of the training cannot be shared with third parties.
13.2 In the case of a suspicion on the part of the Service Provider that the access to an online training has been shared with third parties, the access to the account will be suspended indefinitely, without any obligation on the part of the Service Provider to pay a compensation of any kind or amount.
13.3 The Service Provider has designed the online training as a result of their experience with and knowledge of business services. With the online training, the Service Provider wishes to provide the Customer with useful tools and information.
13.4 The online training that is offered by the Service Provider, in which online course material is provided, is made accessible on the website or on another online platform.
13.5 The Customer needs to have access to an email address, an internet connection, a web browser, and the necessary tools and equipment in order to be able to access and use the online training.
13.6 Concerning the BUM (Boss Up Mentorship), the BFM (Business Freedom Mastermind) and the online (small) courses: At the end of the online training, the Customer has ‘lifetime’ access, for as long as the Service Provider, the online training and the online platform exist. If the Service Provider chooses to no longer offer the online training, the Customer will be notified well in advance.
Concerning the other online trajectories: The content is accessible for the duration of the trajectory.
The duration of each of the trajectories will be specified per trajectory.
13.7 The Service Provider does not guarantee any progress or improvement whatsoever, nor any results. The results are always dependent on the efforts of the Customer.
13.8 The Customer needs to refrain from every use of (the content of) the online training that is unlawful or that can be damaging to the Service Provider.
PART 4 – PROVISIONS RELATING TO ALL SERVICES AND PRODUCTS OF THE SERVICE PROVIDER |
Article 14 – Liability
14.1 Force Majeure
The Service Provider does not accept any liability when they, as result of force majeure or external cause, cannot fulfill their obligations. When the force majeure is temporary, the Service Provider will try to meet the contractual obligations from the moment when it is reasonably possible.
If it appears that it is not possible to continue the services, the agreement will be revised or dissolved in mutual agreement.
14.2 Relations with Third Parties
As far as the Service Provider is dependent upon cooperation, services and deliveries from third parties, the Service Provider cannot be held liable for damage arising out of these relationships or the dissolution of it.
14.3 Contractual Defects
If, in implementing the agreement, gross misconduct is attributable to the Service Provider, the Customer can give them a written notice of default, in which case the Service Provider is given a reasonable term and opportunity to meet the obligations after all. The Service Provider can only be held liable for providing a compensation as replacement that is lower than or equal to the invoice amount. The Service Provider cannot be held liable for any shortcomings on the part of a third party.
Every liability is excluded with regards to any other form of damage or loss, including compensation for indirect damage, consequential damage, or loss of acquired income or profit.
14.4 Technical Issues of the Website
The Service Provider cannot guarantee a certain uptime of the website. The digital content can be unavailable for short periods of time. The Customer cannot demand any compensation when this remains within reasonable proportions.
The Service Provider makes every effort to make sure that the website and online services are available again as soon as reasonably possible. However, the Service Provider cannot guarantee anything.
14.5 Website
The Service Provider is not liable for damage caused by breaking into or hacking of the website. The Service Provider will take every reasonable safety precaution, consistent with the current state of IT developments and techniques available.
The Service Provider is not liable for damage caused by phishing, farming, or other forms of internet fraud or criminal activities.
14.6 Personal Responsibility of the Customer
The Service Provider supports the Customer and provides them with advice. The Service Provider cannot be held liable for decisions made by the Customer during the online trajectory with regards to the Customer’s business.
Article 15 – Intellectual Property Law
15.1 By accepting these terms and conditions, the Customer confirms explicitly that all the designs, information, images, emails, downloads, schemes, modules, materials and other content on the website and online training platform, as well as products, are property of the Service Provider and are protected by the relevant laws and regulations of intellectual property, including but not limited to copyright, trademark law, database rights, neighbouring laws, patents, and design rights.
15.2 The Service Provider grants the Customer a limited, personal, non-exclusive, non-sublicensable, non-transferable and non-revocable license to use the services and products for personal purposes only and under certain conditions, as stated in these terms and conditions, for the duration of the agreement.
15.3 The Customer is explicitly prohibited from using, copying, altering, and publicising, the designs, information, images, and other content designed by the Service Provider. Furthermore, he is explicitly prohibited from using the abovementioned content for direct or indirect commercial purposes, and from passing it on to third parties.
The Customer is explicitly prohibited from passing on the provided license to third parties. The Customer can only download and save the content for strictly personal use.
Article 16 – Data Processing
16.1 By accepting an offer, the Customer declares to agree with the processing of their personal data consistent with the Service Provider’s Privacy Policy. These terms and conditions are to be read in combination with the Privacy Policy that is accessible on the website.
16.2 By creating an account, the Customer accepts these terms and conditions without reservation. Furthermore, the Service Provider needs to process personal data to be able to create said account and to draw up certain documents. How this takes place is explained in the Privacy Policy.
16.3 The Service Provider processes personal data of contacts provided by the Customer in the context of their services. The contact information of these people may be processed in the context of customer administration, for marketing purposes, and for implementing the agreement between the Customer and the Service Provider.
Article 17 – Confidentiality
17.1 Parties are bound by a complete obligation of confidentiality.
This means that they, unless expressly allowed by the other party, cannot use, spread, or pass on to a third party, any of the business secrets relating to any business facet, including but not limited to pricing, marketing, production, finance, strategic development of the business, lists or details regarding customers and previous or potential Customers, contractual conditions, etc., unless:
- it concerns information that is freely available without intervention or negligence by all parties,
- it concerns information that parties are obliged to share because of a definitive (after all legal remedies have been exhausted) court order, a definitive arbitrator’s decision, or a definitive order coming from public authorities,
- it concerns information that parties are obliged to share based on any legal, statutory, regulatory, or any other binding provision from public authorities,
- it concerns information that parties are obliged to share in relation to their defense in legal proceedings or arbitration.
The confidentiality obligation applies for the duration of the agreement and afterwards.
17.2 Parties acknowledge the importance of these obligations. The breach of the confidentiality obligation during the agreement is considered gross misconduct in the context of article 14.3. aforementioned.
In case of violation of this article, parties will be owed a flat-rate compensation to the amount of €1.500,- notwithstanding the right to demand additional compensation, if this sum does not fully restitute the damage done. This compensation is owed to the other party without limiting the right to recourse all legal remedies available.
17.3 The Customer acknowledges that the Service Provider can share certain information (more specifically, but not limited to: wins, fails, photographs, etc.) on their social media channels. The Customer needs to explicitly communicate their wish for the Service Provider to not publicise certain information.
Article 18 – General
18.1 No party can transfer their rights and/or obligations resulting from these terms and conditions or agreements to a third party without the explicit consent of the other party.
18.2 When a provision in these terms and conditions is, in whole or in part, in conflict with a legal provision, and is therefore void, the other provisions remain unaffected. If necessary, parties will together agree upon a new provision that is in line with the goals of the affected provision.
18.3 This agreement is governed by Belgian law. The parties submit all their disputes regarding the implementation of a contract or in relation to invoices to the exclusive jurisdiction of the courts governing the region where the Service Provider is based.
